1. Definitions & Legal Scope
“The Company,” “We,” “Us,” “Our”: Refers exclusively to Meekness & Pouslet Dynamics (Pvt) Ltd, its directors, officers, employees, agents, and authorized sub-contractors.
“Customer,” “Client,” “You”: Refers to the individual or entity tendering the Shipment. The Customer warrants they are the legal owner or authorized agent of the owner.
“Shipment/Goods/Cargo”: Refers to any physical items accepted by the Company for specific logistical services.
“Force Majeure”: Includes acts of God, war, civil commotion, government strikes, pandemics, mechanical carrier failures, or customs-induced delays beyond our control.
2. Shipping Charges, Payment Terms & Billing Policy
Charge Calculation: Charges are based on the higher of Actual Gross Weight or Volumetric (Dimensional) Weight. All measurements are rounded up to the nearest kilogram.
Rate Validity: Quoted rates are provisional and subject to change without notice due to currency fluctuations (USD/ZiG), fuel surcharges, or carrier tariff adjustments.
Payment Requirement: All charges are due UPFRONT AND IN FULL. No customs clearance, transit, or final delivery will be executed until cleared funds are verifiably received by the Company.
Late Penalties: Failure to pay within the stipulated time results in an immediate 30% penalty fee plus 1.5% daily interest compounded monthly.
3. Billing Adjustments, Packaging & Customs Compliance
Mandatory Adjustments: We reserve the right to correct invoice errors post-measurement and upon repackaging, palleting or framing of goods, it is clients’ responsibility to pay for the extra weight or/and volume. Discrepancies incur a mandatory $10.00 Administrative Fee plus the freight adjustment value.
Customer’s Packaging Obligation: The Customer is solely responsible for ensuring Goods are professionally packed to withstand international carriage. The Company accepts zero liability for damage arising from inadequate or defective packaging.
Customs Brokerage: The Customer warrants that all declarations and valuations are 100% accurate. The Customer shall be solely liable for all fines, seizures, or losses resulting from incorrect or fraudulent documentation and shall fully indemnify the Company against such claims.
4. Transit Times & Warehouse Protocols
Non-Guaranteed Transit: All transit times are non-binding estimates. Time is explicitly NOT of the essence. We are not liable for consequential losses caused by delays in transit, port congestion, or security inspections.
Warehouse Acceptance: Liability only begins once Goods are delivered to the specific address format provided by the Company. Incorrect addressing absolves the Company of all liability for misdirection or loss.
5. Prohibited Goods & Restrictions
Absolute Prohibition: We do not carry dangerous goods, hazardous materials, narcotics, currency, bullion, firearms, or any goods prohibited by the laws of Zimbabwe. Any discovered prohibited items will be surrendered to law enforcement (ZRP) at the Customer’s expense.
Right of Inspection: The Company reserves the unqualified right to open and inspect any Shipment without prior notice for security and compliance purposes.
6. Documentation & Customer Responsibilities
The Customer must provide Commercial Invoices, Packing Lists, and required import permits prior to shipment departure. Failure to provide accurate information constitutes a material breach, allowing the Company to hold the Goods and charge storage without liability.
7. Insurance, Claims & Strict Limits of Liability
No Automatic Coverage: The Company does NOT provide automatic cargo insurance. All Goods move at the **Owner’s Risk**.
Strict Limit of Liability: For uninsured Shipments, the Company’s total liability for any loss or damage (even if caused by negligence) is strictly limited to the lesser of: (a) proven value of the goods, or (b) US$10.00 (Ten United States Dollars) per Shipment.
Consequential Loss: We are NOT liable for loss of profits, market share, or any indirect damages.
Claim Procedure: Notice must be given in writing within 72 hours of delivery. Formal claims must be submitted within 7 calendar days or be forever barred.
8. Storage, Abandonment & Disposal
Free Storage: Three (3) calendar days. Thereafter, daily storage fees apply.
Abandonment: Goods not cleared within 30 days of arrival are deemed abandoned. The Company is irrevocably authorized to sell or dispose of abandoned goods to recover outstanding charges without further notice.
9. Delivery, Collection & Handling
Mandatory Inspection: Damage or shortages must be noted on the Proof of Delivery (POD) at the time of collection. A clean POD is conclusive evidence of receipt in good order.
Acceptance: Any signature at the specified delivery address constitutes full and final proof of successful delivery.
10. Refunds, Cancellations & Service Limitations
STRICT NO-REFUND POLICY: All charges paid for services initiated or rendered are STRICTLY NON-REFUNDABLE under any circumstances.
Cancellations: Cancellations before departure incur a 20% Administrative Processing Fee. The balance is held as a non-refundable credit for future use.
11. Privacy & Data Protection
The Customer grants irrevocable consent for the Company to process and transfer personal/commercial data across international borders (China, UAE, UK) to execute services. We comply with the Data Protection Act of Zimbabwe.
12. Modifications to Terms
The Company reserves the unilateral right to amend these terms at any time. Continued use of Services constitutes irrefutable acceptance of revised terms published on our website.
13. Governing Law & Dispute Resolution
This contract is governed exclusively by the Laws of the Republic of Zimbabwe. All disputes are subject to the exclusive jurisdiction of the High Court of Zimbabwe in Harare.
14. Acceptance of Terms
Engagement with the Company in any form (Quote request, Booking, Payment) constitutes full, legally binding acceptance of all 14 sections of these Terms and Conditions.
